Terms

These are the plain-English terms of the Uranus Lab Satellite Program — our partner referral program operated by Uranus Lab Pty Ltd (Sydney, Australia). You accept these terms by making a referral; no separate signup, contract, or partner portal is required. The legal footprint of the whole program lives on this page.

Any individual or legal entity may refer a prospective client, with two exceptions: (a) self-referrals are not eligible — the referrer and the client must be distinct legal parties; and (b) current Uranus Lab employees or contractors acting in their Uranus Lab capacity cannot earn rebates on work they themselves deliver. Otherwise, VCs, accelerators, agencies, former clients, fractional CTOs, R&D tax advisors, and well-connected operators are all welcome.

Three zero-friction methods, any of which we accept as a valid referral: (i) a warm-intro email with adrian@uranuslab.com on CC; (ii) a WhatsApp intro to Adrian with the contact's name, company, and need; or (iii) a unique personal link in the form uranuslab.com/r/[you] that we issue on request. Whichever you pick, include enough context that we can identify the prospect.

You earn 10% of the referred client's first-year spend with Uranus Lab — applied to MVP builds, Product Team engagements, and Flexible Hours (staff augmentation) contracts. "First-year spend" means fees invoiced and paid in the first 12 months from the client's first paid invoice. Renewals after month 12 do not generate additional rebates.

Minimum: $500 per qualified referral, guaranteed even if 10% of first-year spend comes in lower (e.g. short Flexible Hours engagements under $5,000). Maximum: $25,000 per referral, which caps the program's exposure on enterprise-scale deals. There is no cap on the number of referrals you can make — refer 1 or 100, monthly, yearly, or lifetime.

Attribution runs for 12 months from the first tracked introduction. If the same prospect is referred by more than one person, the earliest recorded touch wins. If a referred prospect doesn't close inside the 12-month window but signs later under a new, independent sales motion, the original referral does not re-apply.

A referral qualifies once the referred party (i) signs an MSA or SOW with Uranus Lab and (ii) pays their first invoice in full. Pro-bono work, internal testing, and deals cancelled before first invoice do not qualify. Eligible engagement types: Fixed-scope MVP builds, Product Team pods, Flexible Hours (staff augmentation), and enterprise AI / Blockchain / Platform projects.

Rebates are paid within 14 days of the referred client's first invoice clearing. We contact you automatically to collect payment details; you choose the method: bank transfer (global), USDC, PayPal, or any currency that works for you. We do not require invoices from the referrer, but we will issue a payment record on request. Any taxes or withholdings applicable to the rebate are your responsibility.

Uranus Lab does not disclose the existence or amount of a referral rebate to the referred client unless (a) you explicitly ask us to, or (b) disclosure is legally required in the client's jurisdiction or under their procurement policy. Whether to tell the prospect yourself is entirely your call.

Referrals must be made in good faith to parties with a plausible need for Uranus Lab's services. Mass unsolicited outreach, purchased lists, fake accounts, or any conduct that would breach applicable anti-spam law (Australia's Spam Act, GDPR, CAN-SPAM) disqualifies the referral and may end your participation in the program.

We may update these terms from time to time; the current version is always posted at uranuslab.com/satellite/terms. Changes apply prospectively only — active referrals lock in under the terms in force at the time the introduction was made. We may also discontinue the program on 30 days' notice, with all in-flight referrals honoured.

These terms are governed by the laws of New South Wales, Australia. Disputes are resolved first by good-faith discussion with Uranus Lab; failing that, the courts of New South Wales have exclusive jurisdiction. Nothing in this agreement limits any rights that cannot lawfully be excluded under Australian Consumer Law or equivalent mandatory legislation in your jurisdiction.
